A Securities Firm Becomes the "Gateway" to a DEX: SMBC Nikko Builds Regulation into Liquidity Pools with Uniswap v4 Hooks

証券会社がDEXの「入口」になる ― SMBC日興がUniswap v4のフックで作る、規制を埋め込んだ流動性プール

What was announced

On October 2, SMBC Nikko Securities and blockchain developer Nethermind signed an MoU with Uniswap Labs, Base and Nyx Foundation. The goal is to let Japanese investors use DeFi in a way that meets legal and regulatory requirements. The partners will develop a liquidity provision protocol and a custom liquidity pool called "DeFi Gateway."

Roles are defined. Base will support deployment and x402 integration, while Nethermind leads engineering, AI and smart-contract security. Progress will be shared with Japan's Financial Services Agency, but no product has been approved or launched.

The technical core: hooks

Uniswap v4 hooks let developers add custom logic and conditions to a liquidity pool. Here, the hooks will embed anti-money-laundering, counter-terrorism-financing and investor-protection controls. Instead of verifying identity outside the exchange and restricting entry, the pool itself decides who may trade. Each pool can be built to Japanese regulatory requirements.

The partners will also develop AI-driven "agentic vaults" that support or execute investment decisions, and will explore liquidity strategies for stablecoins and real-world assets.

A year of groundwork

In February, SMBC Nikko created a "DeFi Technology Department" to develop businesses using crypto assets and stablecoins. On March 6, it announced with Nethermind a concept for domestic investors to join on-chain finance by providing liquidity to automated market makers. This MoU moves that concept into implementation.

Structural significance

Until now, regulated institutions entering DeFi have chosen either separate permissioned chains or closed apps on public chains. The hook approach is a third path: using public liquidity infrastructure (Uniswap and Base) while implementing regulatory requirements pool by pool. If it works, Japanese investors could access global liquidity while remaining protected by domestic rules.

Challenges remain. FSA approval has not been obtained, and how liquidity provision is treated under the Financial Instruments and Exchange Act needs clarification. If AI vaults "execute" investment decisions, their relationship to investment management and advisory regulation will also be questioned.

[Business Development Insights]

  1. Moving compliance from entry-point KYC to pool logic can extend to secondary trading of security tokens and stablecoins. Issuers and dealers should begin technical validation of hook-based compliance.
  2. A major securities firm building a regulatory layer on public DeFi creates a new position in Japan's on-chain finance: an intermediary that does not own a chain. Differentiating on intermediation rather than infrastructure becomes a realistic strategy.
  3. Integrating x402 and AI vaults anticipates regulatory questions in an era when AI agents act as investors. Financial institutions should design liability boundaries and supervisory reporting for agent-driven trading early.
