Startale Japan's "Stablecoin Adoption Bond": A ¥99.9m, 5% Digital Bond Paying Interest and Principal in JPYSC Shows the Split Between the Payment Layer and the Asset Layer

Structure of the product
At a press event in Akasaka, Tokyo on October 5, 2026, Startale Japan announced a self-offering of its "1st Guaranteed Digital Bond." The planned issue size is ¥99.9 million (about US$630,000 at roughly ¥158/US$), ¥100,000 per unit, with a one-year term and a fixed 5.00% annual pre-tax coupon. Subscriptions run from October 6 to November 10, payment is due by November 26, and the bond is issued on December 1. Interest is paid on June 1 and December 1, 2027, the latter also being the redemption date. Singapore parent Startale Group Pte. Ltd. guarantees principal, interest and late-payment damages. Issuance and administration run on "OwnerShip Bond," a platform from OwnerShip Inc., the systems subsidiary of Digital Securities Co., an equity-method affiliate of SBI Holdings; at the press event the bond was described as issued on Hyperledger Fabric. The issuer itself solicits and sells the bond; OwnerShip does not solicit or sell.
JPYSC is used only as the exit
Investors pay in yen cash and receive interest and principal as JPYSC in the Startale App. JPYSC is a Type 3 electronic payment instrument (trust type) issued by SBI Shinsei Trust Bank, launched on June 24, 2026 and initially confined to SBI VC Trade accounts. Cumulative issuance was put at about ¥27 billion (about US$170 million) at the event. Transfers to external wallets are still not permitted, mainly because tax reporting obligations triggered by transfers of trust beneficial interests remain unresolved. The FSA's FY2027 tax reform request seeks a fix, and CEO Sota Watanabe gave his personal expectation of improvement around April 2027. The official offering page states that if JPYSC cannot be received in the Startale App, payment will be made in yen by bank transfer. JPYSC payment is therefore a preferred payment route that depends on regulatory progress, not a fixed settlement method.
The economics of 5% (analysis)
The one-year JGB yielded about 1.615% on October 7, and SoftBank Group's seven-year retail bond issued in September carries 4.75%. For a one-year bond from an unlisted, little-known issuer, 5% is high, but annual interest is at most about ¥5 million (about US$32,000). Watanabe said the goal is not fundraising but "creating legal frameworks and leading cases suited to on-chain finance," and proceeds go mainly to JPYSC promotion and business development. The roughly 3.4-point spread over JGBs, about ¥3.4 million, is most consistently read as a promotion cost to acquire JPYSC holders. The company said the size stayed under ¥100 million because it is unlisted; it is likely also set to fall within the small-offering threshold that does not require a securities registration statement.
Comparables and open issues
In Japan, Nomura Research Institute settled a ¥3 billion digital bond in March 2025 with DVP linked to bank transfers, and in March 2026 SBI Securities, Daiwa Securities and others tested DVP for secondary trading of security tokens using the tokenized deposit DCJPY. Abroad, Siemens settled a €300 million one-year digital bond in central bank money in September 2024. Those cases target settlement efficiency between institutions; this one applies a stablecoin to the coupon route for small retail holdings, a different direction. Because the bond ledger (Hyperledger Fabric) and JPYSC (Ethereum) sit on separate ledgers, atomic settlement is impossible and issuer-side reconciliation remains. The bond is in principle non-transferable and cannot be cashed out early, and financial disclosure on the issuer and guarantor is limited. Investors accept credit risk and illiquidity in exchange for 5%.
[Business Development Insights]
- The essence of this deal is not fundraising but a customer acquisition tool that creates recipients for a stablecoin. Banks and securities firms promoting their own tokenized deposits or stablecoins can grow holders without asking for new purchases by switching the delivery route of money they already pay customers, such as interest, points or dividends, to tokens.
- As long as the bond ledger and the payment token sit on different chains, the benefits of DVP and automated coupon payment are limited, and a yen bank-transfer fallback is always needed. Institutions planning tokenized bonds should make the connection between asset and payment ledgers (a shared platform, a bridge, or a trusted reconciliation party) a first-order design requirement.
- External circulation of trust-type stablecoins is gated by tax reporting obligations, and April 2027 is a key branch point. Until then, the period is best used to build usage within closed accounts and apps, while preparing external-wallet support, recipient identification, and tax-reporting workflows for whichever outcome the tax reform produces; early preparation will be a competitive advantage.
