From "Holding" to "Selling": Metaplanet Bids to Build a Bitcoin Financial Platform via a Brokerage Acquisition

「持つ」から「売る」へ──メタプラネットが証券会社買収で挑むビットコイン金融プラットフォーム化

From a Company That "Holds" Bitcoin to One That "Sells" Finance

The target, Siiibo Securities, is a Type 1 Financial Instruments Business Operator founded in 2019 that runs an online platform selling private-placement bonds to individual investors. Focused on venture debt, it has supported bond issuance for over 40 companies and 100-plus issues. Its capital stands at ¥1.627 billion (end-December 2025); while it has posted net losses for the past three fiscal years, operating revenue for the year ended December 2025 grew about 75% year on year to ¥156.41 million.

Metaplanet's intent is clear: by absorbing a hard-to-obtain securities license and an existing customer base, it will gradually originate and distribute BTC-linked bonds, products incorporating Bitcoin-related assets, and security tokens (ST). For a company whose activity has been "buy and hold Bitcoin," this marks a turning point toward handling the full chain from product origination to investor distribution.

Why a Brokerage, and Why Now—The mNAV-Below-1 Problem

As of end-May 2026 the company held 40,177 BTC—third largest among corporations worldwide and first in Japan (worth roughly US$2.5–2.8 billion). Yet its share price fell from a February high of around ¥402 to about ¥224 by June 12, down roughly 80% from the peak. Critically, its mNAV—the market's valuation multiple against BTC holdings—slipped below 1.0x, to 0.94x in May.

While mNAV stays above 1.0x, a "growth flywheel" turns: issue shares at a premium, buy more BTC, and raise BTC-per-share. Once it drops below 1.0x, that funding engine stalls and the hold-only model runs aground. Hence the urgency to acquire a real operating business that generates fee and management income independent of mark-to-market gains. The brokerage acquisition is a direct answer to that structural problem.

Launching Project Nova, With Financial Discipline

The deal is positioned as the first full-scale M&A under "Project Nova," a strategy to build a Bitcoin-centered financial platform and ecosystem. Its scope spans asset management, venture investment, and financial infrastructure, as well as digital-asset custody, stablecoin settlement, and investment in or partnership with Bitcoin-related software and hardware firms.

Funding combines cash on hand and borrowings, supplemented as needed by a BTC-collateralized credit line (up to US$500 million, about ¥80 billion). The company aims to keep its borrowing ratio below 10% of BTC net asset value, maintaining discipline while using leverage. Closing is set for July 13, with the wholly-owned-subsidiary process due to complete in late August.

The challenge: turning a loss-making brokerage profitable, and establishing both regulatory compliance and demand for BTC-linked products under Japan's revised financial instruments law—all amid headwinds for the DAT sector, including JPX's review of treasury-company regulation.

[Business Development Insights]

  1. The shift from stock (holding assets) to flow (fee and management income) is becoming the next axis of valuation. When the market stops rewarding the mere act of holding assets, what differentiates enterprise value is whether a company can own the operating business—origination, distribution, management—that monetizes those assets. The contest moves from a race to accumulate assets to a business model that recycles them into recurring income.
  2. Vertically integrating the value chain from "upstream to downstream," anchored on a core strength, is effective. The more a company holds upstream strengths such as assets or technology, the more it gains margin and product-design control by securing the customer-facing distribution channel (license and client base). In new ventures, ask: "In the adjacent space to my core strength, what should I bring in-house to achieve end-to-end control?"
  3. M&A is an effective way to buy hard-to-build "regulatory licenses and customer bases"—time included. Regulatory assets like a Type 1 securities license, which are slow and difficult to obtain, are often faster and more certain to acquire than to build. Even a loss-making target can be a rational buy if its license, customers, and specialized talent carry strategic value—though success hinges on PMI (post-merger integration) and the credibility of the path to profitability.
